Terms of Service

Welcome to SubAgent. These Terms of Service (“Terms”) are a binding agreement between you and Digital Connor inc., a company incorporated in British Columbia, Canada (“SubAgent,” “we,” “us,” or “our”), governing your access to and use of the SubAgent website at subagent.pro and the related applications, tools, and services we provide (collectively, the “Service”).

By creating an account, starting a free trial, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you are at least 16 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that entity to these Terms.

2. Description of the Service

SubAgent provides a suite of AI-powered tools (“Agents”) designed to help creators and businesses with tasks such as writing, content creation, research, video processing, data analysis, and related workflows. The Service relies on third-party artificial intelligence models and other third-party infrastructure to function. Features, Agents, and capabilities may change, be added, or be removed over time.

The Service is provided on a subscription basis and may also offer one-time purchases of additional usage credits, as described at checkout and on our pricing page.

3. Accounts

To use most features, you must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly at support@subagent.pro if you suspect unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your account.

4. Free Trial

We may offer a free trial (currently seven (7) days) for new subscribers. Unless you cancel before the end of the trial period, your subscription will automatically convert to a paid subscription and your payment method will be charged at the then-current rate for the plan you selected. You may cancel at any time during the trial through your account settings to avoid being charged. We reserve the right to determine eligibility for a free trial and to modify or withdraw trial offers at any time.

5. Subscriptions, Billing, and Credits

Pricing. All prices are listed and charged in United States Dollars (USD) unless otherwise stated. Current plan prices and credit allowances are shown on our pricing page and at checkout.

Billing. Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan you choose) through our third-party payment processor, Stripe. By subscribing, you authorize us and Stripe to charge your payment method on a recurring basis until you cancel.

Credits. The Service operates on a usage-credit system. Each plan includes a periodic allowance of credits, and you may purchase additional credit top-ups. Credits have no cash value, are non-transferable, and are non-refundable except as required by law. Unused plan credits may expire at the end of each billing cycle as described in your plan. Top-up credits and their expiry are described at the point of purchase.

Price changes. We may change our prices or the structure of our plans. We will provide reasonable advance notice of any price increase affecting your subscription. Continued use of the Service after a price change takes effect constitutes acceptance of the new price.

Taxes. Prices may be exclusive of applicable taxes (including GST/HST or other sales taxes). You are responsible for any taxes associated with your purchase, which may be added at checkout where required.

6. Cancellations and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period, and you will retain access until then. We do not provide prorated refunds for partial billing periods unless required by applicable law. Except where required by law, all payments are non-refundable, including payments for credits and top-ups.

8. Your Content

“User Content” means any text, files, images, video, prompts, or other material you submit to the Service. You retain all ownership rights you hold in your User Content. You grant us a limited, non-exclusive, worldwide license to host, process, transmit, and display your User Content solely as necessary to operate and provide the Service to you, including by sending it to the third-party AI providers that power the Agents.

You are solely responsible for your User Content and for ensuring you have the necessary rights to submit it. You represent that your User Content does not violate these Terms or any law.

9. AI-Generated Output

The Service uses artificial intelligence to generate outputs (“Output”) based on your inputs. You understand and agree that:

10. Intellectual Property

The Service, including its software, design, branding, text, and other materials (excluding User Content and Output), is owned by Digital Connor inc. or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose, subject to these Terms. You may not use our trademarks or branding without our prior written consent.

11. Third-Party Services

The Service integrates with and relies on third-party services, including AI model providers, payment processing (Stripe), and infrastructure and data-storage providers. Your use of the Service may be subject to those third parties’ terms, and we are not responsible for their acts, omissions, or services.

12. Disclaimers

THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT OUTPUT WILL BE ACCURATE OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGITAL CONNOR INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify and hold harmless Digital Connor inc. and its representatives from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your User Content, your use of the Service, or your violation of these Terms or applicable law.

15. Suspension and Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or to protect the Service or other users. You may stop using the Service and close your account at any time. Upon termination, your right to use the Service ceases, and provisions that by their nature should survive (including Sections 8–14 and 16) will survive.

16. Governing Law and Disputes

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree that the courts located in British Columbia, Canada will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to the personal jurisdiction of those courts.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by posting a notice on the Service or updating the “Last updated” date above. Changes take effect when posted. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
